Terms & Conditions of Sale

These Terms & Conditions of Sale (“Terms”) govern all purchases from MaterialHandling.com, a website owned and operated by Premier Handling Solutions, Inc. (“PHS,” “we,” “us”), 1415 Davis Rd, Elgin, IL 60123. By placing an order, you agree to these Terms. If you are purchasing on behalf of a business, you represent that you are authorized to bind that business.

1. Business-to-Business Sales

Our products are industrial equipment intended for commercial, institutional, and industrial use. Sales are made primarily to businesses. Consumer purchasers may have additional rights under applicable law that these Terms do not limit.

2. Orders & Acceptance

Your order is an offer to purchase. We accept it when we confirm the order and, for built-to-order products, when the manufacturer accepts it into production. We may decline or cancel any order (with a full refund of amounts paid) for pricing or specification errors, suspected fraud, product discontinuation, or inability to verify the order. Order confirmations are sent by email — review them immediately and report any discrepancy before production begins.

3. Pricing & Errors

Prices are in U.S. dollars and exclude sales tax and, where noted, freight. We work hard to keep our catalog of 16,000+ products accurate, but manufacturer price changes and typographical errors occur. If the correct price is higher than displayed at the time of order, we will contact you with the option to pay the correct price or cancel for a full refund. Quotes are valid 30 days unless stated otherwise.

4. Product Information & Specifications

Product specifications, dimensions, weights, and capacities are provided by the manufacturers. Manufacturers hand-measure many dimensions, which are approximate, and reserve the right to improve or change designs without notice. Product images may show optional accessories or configurations. Descriptions identify the goods and do not create an express warranty that goods will conform to every description detail. If a specification is critical to your application, confirm it with us before ordering.

5. Custom & Approval-Drawing Products

Products built to custom specifications — including any product produced from an approval drawing you sign off on — are non-cancelable once production begins and non-returnable. You are responsible for verifying approval drawings; goods manufactured per an approved drawing conform even if the drawing contains your error.

6. Shipping, Title & Risk of Loss

Except as otherwise quoted, shipments are FOB origin: title and risk of loss pass to you on carrier pickup. Our Freight & Shipping Policy (including the receiving/claims requirements) is part of these Terms. Delivery dates are estimates; we are not liable for manufacturer or carrier delays.

7. Payment

Our Payment Policy is part of these Terms. For Net-terms accounts: invoices are due per the approved terms; past-due balances may accrue a service charge of 1.5% per month (or the maximum allowed by law) plus reasonable collection costs, and future orders may require prepayment.

8. Returns & Cancellations

Governed by our Return & Refund Policy, which is part of these Terms.

9. Warranty; Disclaimer

Products carry the manufacturer's warranty as described in our Warranty Policy. EXCEPT AS EXPRESSLY STATED, PRODUCTS ARE PROVIDED WITHOUT ANY WARRANTY BY PHS, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Some states do not allow limitations on implied warranties, so this may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHS'S TOTAL LIABILITY ARISING FROM ANY ORDER IS LIMITED TO THE AMOUNT PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. IN NO EVENT ARE WE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING DOWNTIME, LOST PROFITS, OR COST OF SUBSTITUTE EQUIPMENT.

11. Safe Use & Compliance

Industrial equipment can be dangerous if misused. You are responsible for: selecting equipment appropriate to your application; operator training; compliance with OSHA/ANSI and other applicable regulations; observing rated capacities; and performing manufacturer- required maintenance and inspections. Never modify equipment or use it beyond its intended function.

12. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including manufacturer production issues, material shortages, carrier disruptions, labor disputes, natural disasters, or government action.

13. Intellectual Property

All site content is owned by PHS or its licensors. Manufacturer names, logos, and trademarks belong to their respective owners and are used as an authorized dealer. See our DMCA Notice for infringement claims.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules and excluding the U.N. Convention on Contracts for the International Sale of Goods. Exclusive venue for disputes is the state or federal courts located in Kane County / the Northern District of Illinois, and each party consents to that jurisdiction. Before filing any action, both parties agree to attempt good-faith resolution through our support team.

15. Changes to These Terms

We may update these Terms from time to time; the version posted at the time you place an order governs that order.
